1. Introduction

Welcome to the website of WL Bush Architect & Associates, LLC (“Company,” “we,” “us,” or “our”). We are an architectural services and design company based in Montgomery, Alabama.

These Terms and Conditions govern your access to and use of our website, your inquiries about our services, and the general terms applicable to our architectural design services.

By accessing or using this website, you agree to these Terms and Conditions to the extent applicable to your use. If you do not agree, please discontinue use of the website.

Important: A website inquiry, estimate, or proposal does not automatically create an architectural services agreement. Project services will be governed by a separate written agreement when required or provided.

2. Our Services

WL Bush Architect & Associates, LLC may offer architectural and design services, including, where applicable and agreed in writing:

  • Architectural consultation and concept development.
  • Building design and space planning.
  • Architectural drawings and design documentation.
  • Renovation, remodeling, and building addition design.
  • Commercial building design.
  • Design revisions and coordination services.
  • Other architectural services specifically identified in a written proposal.

The availability of any service depends on project requirements, professional qualifications, scheduling, and the scope agreed upon with the client.

The precise deliverables, fees, schedule, assumptions, exclusions, and responsibilities for an individual project will be established in the applicable proposal or professional services agreement.

3. Website Information and Estimates

The information on this website is provided for general informational purposes. Website descriptions, photographs, illustrations, and examples do not constitute a guarantee that a particular service is available or appropriate for every project.

Any preliminary estimate or fee indication is subject to confirmation of the project requirements and scope.

Unless expressly stated otherwise in writing, an estimate is not a final project contract and does not authorize work to begin.

We reserve the right to correct website errors, update service descriptions, and modify website content as appropriate.

4. Project Agreements and Client Responsibilities

Before architectural services begin, the Company and client should establish the applicable project scope, fees, payment schedule, anticipated deliverables, and other material terms in writing.

Clients agree to:

  • Provide accurate project information and relevant documents.
  • Disclose known site conditions and project requirements.
  • Identify applicable deadlines, approvals, and other project constraints.
  • Review design submissions and provide decisions or feedback within agreed timeframes.
  • Pay fees and approved expenses in accordance with the applicable agreement.
  • Obtain property-owner authorization and other permissions for which the client is responsible.
  • Engage other consultants or professionals when required and not included in our scope.

Delays caused by incomplete information, delayed approvals, changes in project requirements, or circumstances beyond our reasonable control may affect the project schedule and fees, subject to the applicable agreement.

5. Pricing and Professional Fees

Fees for architectural services may be established as:

  • A fixed fee for a defined scope of work.
  • An hourly fee based on time spent.
  • A phased fee for separate stages of a project.
  • Another written fee arrangement agreed upon by the parties.

The applicable proposal or agreement will specify the pricing method and any additional charges.

Unless expressly included in the written agreement, professional fees do not include third-party consultant fees, government filing fees, permit fees, printing or delivery costs, travel expenses, or other outside expenses.

Additional services, substantial revisions, and work outside the original scope may require a written change order or supplemental agreement and additional fees.

6. Payment Policy

6.1 Invoices and payment due dates

Invoices will identify the services provided or billed, the amount due, and the applicable payment deadline.

Unless a different arrangement is stated in the signed proposal or invoice, payment is due within 15 calendar days of the invoice date.

If a project agreement establishes a different payment schedule, the signed project agreement will control for that project.

6.2 Deposits and advance payments

A deposit or advance payment may be required before work begins. The amount, purpose, and treatment of the payment will be disclosed in the applicable proposal or agreement.

Deposits are credited toward the agreed project fees unless the written agreement specifies another lawful treatment.

6.3 Milestone payments

For projects divided into phases or milestones, payments may be required upon completion of the agreed stage or delivery of specified work products.

Clients are responsible for paying amounts due under the applicable agreement even if the overall construction project has not started, unless the agreement expressly provides otherwise.

6.4 Late payments

If an invoice is not paid by its due date, we may provide written notice requesting payment.

To the extent permitted by applicable law and the project agreement, overdue balances may accrue interest at the rate stated in the agreement, not exceeding the maximum lawful rate.

The client may also be responsible for reasonable collection costs where permitted by law and the applicable agreement.

6.5 Payment methods

Accepted payment methods will be identified in the invoice or payment instructions. These may include electronic payment, bank transfer, check, or other methods approved by the Company.

Clients should not send sensitive payment credentials through an unsecured website inquiry form or ordinary email.

6.6 Disputed invoices

If a client believes an invoice contains an error, the client should notify us in writing promptly, identify the disputed item, and provide relevant details.

The parties will make a reasonable effort to resolve billing questions. Any undisputed portion remains payable according to the applicable agreement and applicable law.

7. Cancellation, Termination, and Refund Policy

Architectural services are professional services involving time, design work, research, consultation, documentation, and project-specific deliverables. They are not ordinary retail products that can simply be returned after purchase.

7.1 Cancellation by the client

A client who wishes to cancel a project or discontinue services must provide written notice in accordance with the applicable project agreement.

Upon cancellation, the client may be responsible for:

  • Fees for services performed through the effective cancellation date.
  • Approved expenses already incurred.
  • Non-cancellable third-party commitments authorized by the client.
  • Other amounts properly due under the written agreement and applicable law.

The Company will calculate any final amount due based on the applicable agreement and work performed.

7.2 Refunds of deposits and advance payments

Refund eligibility depends on the terms of the signed agreement, the services performed, expenses incurred, and applicable law.

Where a client has paid more than the amount properly earned or owed at cancellation, the Company will refund any resulting balance in accordance with the applicable agreement and law.

A deposit is not automatically refundable or automatically non-refundable in every circumstance. Its treatment will depend on the written agreement and applicable legal requirements.

7.3 Completed services

Fees for architectural services already performed are generally not refundable merely because the client changes their mind, changes project direction, delays construction, or decides not to proceed with the project, subject to the applicable agreement and law.

If an agreed service has not been performed, any refund or credit will be determined under the applicable agreement and law.

7.4 Design revisions and dissatisfaction

Clients should communicate requested revisions in writing and refer to the revision allowances in their proposal.

Corrections necessary to address a failure to meet the agreed scope will be handled in accordance with the project agreement and applicable professional obligations.

Changes arising from new client preferences, new project requirements, or revisions beyond the agreed scope may be treated as additional services and may require additional fees.

7.5 Cancellation or suspension by the Company

The Company may suspend or terminate services when permitted by the project agreement and applicable law, including in circumstances involving material nonpayment, failure to provide required information, or other material breaches.

Where appropriate, we will provide notice and an opportunity to address the issue before suspension or termination.

Any final invoice, refund, delivery of work, and transition obligations will be handled according to the applicable agreement and law.

7.6 Refund requests

Refund requests should be submitted in writing to the Company’s verified business email address, with the client’s name, project reference, invoice number, payment date, amount, and reason for the request.

We will review the request and communicate the outcome within a reasonable period. Any approved refund will be processed using an appropriate payment method, subject to payment-provider processing times and applicable requirements.

8. No Physical Product Return Policy

Our principal business is the provision of architectural and design services. Unless a separate written agreement expressly provides otherwise, we do not sell physical products through this website.

Accordingly, a conventional merchandise return or exchange policy does not apply to professional services.

Where a project includes printed drawings, physical models, or other tangible deliverables, the applicable agreement will specify ownership, delivery, and any return arrangements.

Digital drawings, design documents, and other project deliverables are subject to the intellectual property and usage terms of the applicable agreement.

9. Intellectual Property and Use of Deliverables

Unless otherwise agreed in writing, website content, branding, text, graphics, and other original website materials are owned by or licensed to the Company and may not be reproduced or commercially used without appropriate permission.

Architectural drawings, plans, models, specifications, and other professional work products are subject to the ownership, licensing, and permitted-use provisions of the applicable project agreement and applicable law.

Payment for services does not, by itself, establish unrestricted ownership or usage rights in every project document.

Clients may use project deliverables only to the extent authorized by the applicable agreement. Reuse, modification, transfer, or application of drawings to another site or project may require separate written authorization.

10. Professional Services and Project Limitations

Architectural services are provided within the scope stated in the applicable project agreement.

Unless expressly included in the agreement, our services do not include engineering, surveying, environmental testing, legal advice, cost guarantees, construction contracting, or other specialist services.

Building approvals, permits, construction costs, contractor performance, material availability, and construction schedules may depend on decisions and circumstances outside the Company’s control.

No website statement guarantees a particular permit outcome, construction price, completion date, or investment result.

11. Website Availability and Acceptable Use

We seek to maintain a useful and accessible website but do not guarantee uninterrupted or error-free operation.

Users agree not to misuse the website, attempt unauthorized access, transmit malicious code, interfere with its operation, or submit unlawful or fraudulent material.

We may restrict access where reasonably necessary to protect the website, our business, or other users.

12. Third-Party Services and Links

The website may include links to third-party websites or services. Such links are provided for convenience and do not necessarily constitute an endorsement.

We are not responsible for third-party content, policies, availability, or practices. Users should review the applicable terms and privacy policies of third-party providers.

13. Limitation of Liability

To the extent permitted by applicable law, the Company will not be responsible for indirect, incidental, special, or consequential losses arising from website use or matters outside the scope of our contractual obligations.

Nothing in these Terms and Conditions excludes or limits liability where such exclusion or limitation is prohibited by law, or limits any professional duty or responsibility that cannot lawfully be waived.

Any additional limitation of liability relating to architectural services must be expressly stated in the applicable project agreement and reviewed for compliance with applicable law.

14. Indemnification

To the extent permitted by law, users are responsible for losses arising from their unlawful misuse of the website or infringement of third-party rights through material they submit.

Any indemnification obligations relating to a professional architectural project must be expressly set out in the applicable project agreement.

15. Governing Law and Disputes

These website Terms and Conditions are governed by the laws of the State of Alabama and applicable federal law, without regard to conflict-of-law principles, to the extent permitted.

The parties should first attempt to resolve disputes through good-faith communication. Any applicable mediation, arbitration, venue, or court requirements will be determined by the relevant agreement and applicable law.

Nothing in this section removes any non-waivable legal rights available to a party.

16. Privacy

Our collection and use of personal information are described in our Privacy Policy, which should be read together with these Terms and Conditions.

17. Changes to These Terms

We may update these Terms and Conditions from time to time. The revised version will be posted on this website with an updated effective or revision date.

Changes to website terms do not automatically amend an existing signed professional services agreement. Amendments to an individual project agreement must follow that agreement and applicable law.
